Terms of Service

These Terms of Service (the “Terms”) govern your use of the Axorite website at https://axorite.com and any services provided by Axorite Group LLC (“Axorite,” “we,” or “us”). By using this site or engaging us for services, you agree to these Terms.

1. Services

Axorite provides software consulting services, including custom application development, internal tooling, systems integration, and technical advisory work. The specific services for any engagement are defined in a written proposal, statement of work, or order form (each, an “Agreement”) signed by both parties. Where an Agreement conflicts with these Terms, the Agreement controls.

2. Proposals and acceptance

Nothing on this website is an offer or a binding quote. Pricing is quoted per engagement in a written proposal. An engagement begins only when both parties have signed an Agreement and any required deposit has been paid.

3. Fees and payment

  • Project work is billed against the milestones set out in the Agreement.
  • Retainers are billed monthly in advance for the reserved capacity described in the Agreement.
  • Advisory work is billed hourly or per engagement, as stated in the Agreement.

Invoices are due within 15 days of issue unless the Agreement says otherwise. Payments are processed by our third party payment processor. Late balances may accrue interest at 1.5% per month, or the maximum rate permitted by law if lower. We may suspend work on accounts more than 30 days past due.

4. Client responsibilities

Timely delivery depends on your participation. You agree to provide the access, credentials, content, approvals, and decisions we reasonably request. Delays caused by outstanding client items may shift the delivery schedule and, on fixed scope work, may require a change order.

5. Changes to scope

Work outside the scope defined in the Agreement requires a written change order describing the added work, its price, and its effect on the schedule. We will not perform out of scope work without your written approval.

6. Intellectual property

On receipt of final payment for an engagement, Axorite assigns to you all right, title, and interest in the deliverables created specifically for you under that engagement. We retain ownership of our pre-existing materials, tools, libraries, and general know-how, and grant you a perpetual, non-exclusive, royalty free license to use those materials to the extent they are embedded in the deliverables.

7. Confidentiality

Each party agrees to protect the other party’s confidential information with at least reasonable care and to use it only for purposes of the engagement. This obligation does not apply to information that is publicly available, independently developed, or lawfully received from a third party.

8. Warranties and disclaimer

We warrant that services will be performed in a professional and workmanlike manner consistent with generally accepted industry practice. Except for that warranty, the website and all services are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that software will be error free or uninterrupted.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to an engagement will not exceed the fees you paid to us under that engagement in the 12 months preceding the claim.

10. Termination

Either party may terminate an engagement for material breach if the breach is not cured within 15 days of written notice. Retainers may be terminated by either party with 30 days written notice. On termination you remain responsible for fees for work performed and expenses incurred through the effective termination date. Refund eligibility is described in our Refund and Cancellation Policy.

11. Independent contractor

Axorite is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

12. Acceptable use of this website

You agree not to use this website to violate any law, to attempt to gain unauthorized access to our systems, to interfere with its normal operation, or to scrape or reproduce its contents for commercial purposes without our written permission.

13. Changes to these Terms

We may update these Terms from time to time. The version posted on this page at the time you engage us governs that engagement. Material changes will be reflected in the “Last updated” date above.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware.
